Women’s Online Media and Education Network Terms of Service and E-Commerce Policy

 





I understand and agree to all the definitions, details, information, points and statements below.



 

Terms of Service and E-Commerce Policy Key Points and Acknowledgements:

1. 

Women’s Online Media and Education Network and Women’s Online Media and Entertainment Network (WOMEN) are producers of various Web sites (“WOMEN Web sites”) where e-commerce (online or Internet transaction business) is used and not limited to the contact and connection of  buyers and sellers, sales transactions, collection of information, payment processing, and delivery of  products and services. 


   The current WOMEN Web sites (WOMEN Web sites) offered:



   • WomensRadio.com

   • WomensCalendar.org

   • AudioAcrobat.com

   • WRMusicReview.com



2. Terms of Service and E-Commerce Policy documentation is an explanation for visitors and commerce participants on how all commerce transactions take place on Web sites produced by WOMEN and the details for any and all Web site conduct and commerce and transactional participation.  All participants who engage transaction commerce, where products and services are advertised, displayed, purchased, sold or rendered and any associated or related commerce mechanisms are mentioned or specified such as and not limited to affiliate services, commissions, payment processing, product returns, refunds and shipping and handling, and service fees, must agree to the Terms of Service and E-Commerce Policy.  There are no exceptions.
3. A Web page where a form field “Check Box” or “Radio Button” indicating the statement, “Yes, I have read, understand, and agree to the Terms of Service and E-Commerce Policy,” or any other similar statement will provide proof that any participant or visitor has read, acknowledges, agrees and understands all the statements and terms of “Terms and Service and E-Commerce Policy” specified herein.
 
4. The Terms of Service and E-Commerce Policy applies to all areas of online commerce and any other services provided on any Web site produced by WOMEN that involve and are not limited to the following:
   1. 

Subscription or membership based services
   2. Advertising campaigns and marketing displays
   3. Product distribution, marketing  and sales
5. WOMEN reserves the full right and authority to modify the Terms of Service and E-Commerce Policy documentation at any time.   All those who read, acknowledge, agree and understand all the statements and terms of “Terms and Service and E-Commerce Policy” at any time also acknowledge and agree to full acceptance of any such modifications.
6. WOMEN, in addition and not limited to their assigns, affiliates, agents, alliances, contractors, employees, licensors, licensees, officers, owners, partners, stakeholders, shareholders, subsidiaries and Web sites, will be held harmless for any and all injury incurred, either financially or personally, as a result of any and all use of the Web sites, e-commerce or transactional systems and technology which have been developed, displayed, implemented and provided.
7. All Web sites, technologies and systems developed, displayed, implemented and provided by WOMEN are considered to be proprietary and that any and all information pertaining to that system is the exclusive property of WOMEN. Such systems and information may include, without limitation, all documents and materials, whether printed, graphic, or in machine-readable form, source or object code, or other tangible form, which is disclosed by WOMEN, in addition and not limited to their assigns, affiliates, agents, alliances, contractors, employees, licensors, licensees, officers, owners, partners, stakeholders, shareholders and subsidiaries, relating to the development of certain software systems and technology relating to communication systems and services initially for the exchange of information between buyers and sellers via electronic means or any other means now known or hereafter devised, including, without limitation, all processes, hardware, software, inventions, know how, business methods, pricing, operating, performance, non-public technical and business information, financial statements, appraisals, list of inventories, list of clients or customers, business plans or forecast strategies, production plans and marketing plans relating thereto (the "Information" or the "System".).




Terms of Service and E-Commerce Policy Considerations:



1. The Information shall be treated as confidential and there will be no disclosure of  that Information to any third party without the prior written consent of WOMEN. Acknowledgement and acceptance that the disclosure of all or any part of such Information may be detrimental to the interests of WOMEN, in addition and not limited to their assigns, affiliates, agents, alliances, contractors, employees, licensors, licensees, officers, owners, partners, stakeholders, shareholders and subsidiaries, and reasonably prudent measures will be taken by all those who agree to the Terms of Service and E-Commerce Policy to preserve the confidentiality of such information.
2. The Information shall not be used for any commercial purpose, reproduced in whole or part, nor revealed to others without prior written consent of WOMEN, of which consent may be withheld for any reason or no reason, and may be granted upon such terms as WOMEN chooses.
3. It is understood that of WOMEN does not condone nor tolerate the sending of unsolicited email by participants and users of its Web sites or Systems. It is further understood, acknowledged and agreed by all those who accept the Terms of Service and E-Commerce Policy that they are responsible for mail received and/or sent on their behalf. It is further understood and agreed that WOMEN will immediately terminate any relationship and, without limitation, any contract, membership,  or service for violating the WOMEN SPAM Policy as specified in that policy. In the event that spamming by Web site or System by any member, user or participants has caused a WOMEN Web site service interruption, it understood that WOMEN will charge that user, member or participant a $1000 per hour fee until service is fully restored. It is understood that the member, participant or user is not be eligible for a refund when their account, membership, or service has been terminated for violating the SPAM Policy. It is understood that the member, user or participant will forfeit all commissions and refunds or any applicable payment due to the member, user or participant for any account, membership, or service that has been terminated for violating the SPAM Policy. WOMEN reserves the right to take legal action against any member, user or participant found violating this spam policy.
   

   

Important Points about SPAM:

   • DO NOT send out unsolicited email. If you follow the CAN-SPAM ACT policies, you must provide opt-in and opt-out for your mailing list. Failure to do so will blacklist your domain.    • Do not Spam-vertise. Using WOMEN Web site links or reference any aspect of WOMEN Web sites for advertising in unsolicited email is unacceptable.
   • Do not use the name of any Web site or any instance as such regarding domain names or as part of your email as it will violate copyrights, service marks,  or applicable trademarks.
4. It is understood and agreed that all members, participants and users are automatically opted-in at sign-up for announcements via email. WOMEN reserves the right to contact any member for the purpose of making announcements that will inform of members through notifications regarding the status of WOMEN and its Web sites. 

ATTENTION: All AOL members must request to be included in email messages (Opt-in) from WOMEN and its Web sites. The reporting of WOMEN and its Web sites opt-in email messages as SPAM by any member, participant or user will cause the immediate cancellation of all WOMEN and its Web sites accounts, memberships and services pertaining to that member, participant or user. All AOL members are asked to opt-out if they desire not to receive email notifications from WOMEN and its Web sites. Invoice and all relevant email messages are sent automatically, and may not be opted out of unless the member, participant or user cancels their account.
5. It is understood and agreed that WOMEN and its Web sites reserve the right to change or modify the terms of this Agreement or deny services to anyone, without notice, at any time, for any reason, including but not limited to any unusual use of services such as, and not limited to, advertisements, bandwidth, products purchases and/or spamming.
6. It is understood and agreed that members, participants and users are responsible for providing WOMEN and its Web sites with accurate contact and payment information at all times. WOMEN and its Web sites are not responsible for service interruptions that may result from member, participant and user payment or account information becoming out-of- date, incomplete or inaccurate.
7. WOMEN and its Web sites is authorized to keep on file and charge the credit/debit card listed in any Web site application form for WOMEN and its Web sites’ services provided on a month-to-month basis or in accordance with the payment plan selected, and for any past due balances in order to bring the account balance current. It is agreed and understood that members, participants and users on an “Auto-Bill” form of payment for subscription plans that have been selected which means that the credit/debit card will be charged each month automatically unless the member, participant or user specifically withdraw permission to do so.  The member, participant or user can elect to choose an alternate form of payment other than Auto-Bill as provided by WOMEN and its Web sites. It is further understood and agreed that member, participant or user will be charged automatically at the end of any Free Trial or applicable promotion period unless the member, participant or user choose to close their account before the Free Trial or promotion period ends. WOMEN and its Web sites may charge the member, participant or user’s credit/debit card account at any time for any outstanding invoices including and not limited to applicable taxes, bandwidth charges, shipping and handling fees and surcharges.
8. It is understood and agreed that accounts, memberships and services are considered past due when payment is not received within 5 business days after the date of invoice. It is understood and agreed that accounts that remain unpaid after 7 days may have their service interrupted or terminated. Such interruption or termination does not relieve the member, participant or user from financial obligation to pay the monthly charge. Outstanding balances are subject to a $10 late fee. It is agreed that any member, participant or user who is in arrears for payments owed to WOMEN and its Web sites will pay all reasonable expenses, including attorney and collection agency fees incurred by WOMEN and its Web sites to enforce the terms and conditions of this Terms of Service and E-Commerce Policy.
9. It is understood and agreed that all information, files and email will be deleted from an unpaid account 10 days past due or when the account, membership or service is terminated by either party. If the member, participant or user chooses to use WOMEN and its Web sites’ accounts, memberships or services again thereafter, the member, participant or user must reapply as a new the member, participant or user. It is understood and agreed that money-back guarantee trials or applicable promotions are NOT available in the event that the member, participant or user reapplies for an account, membership or service.
10. It is understood and agreed that any WOMEN Web site accounts, memberships or services cannot be transferred or used by anyone other than the member, participant or user without express permission of WOMEN. It is also understood and agreed that any account, membership or service found in violation shall be subject to immediate termination.
11. It is understood and agreed that WOMEN shall have the right to suspend any account, membership or service at any time for any reason without any prior notice. If service is to be suspended for more than 15 days, member, participant or user will be notified in advance as to the reason at the discretion of WOMEN.
12. It is understood and agreed that the member, participant or user may cancel their account, membership or service at any time and that member, participant or user is required to use the appropriate Cancellation Form when canceling any account, membership or service. Cancellation is considered in effect when confirmed by WOMEN and/or its Web site(s). 


13. It is understood and agreed that WOMEN may issue a one-time full refund of account, membership or service fees, at its sole discretion, and will not refund any surcharged service charges, including but not limited to toll-free access usage or bandwidth usage in excess of the amount included in your subscription plan.
14. It is understood and agreed that WOMEN and its Web sites reserve the right to change the account, membership or services rates and charges by notifying me 30 days in advance of the effective date of the change.
15. It is understood and agreed that if a member, participant or user is dissatisfied with the account, membership or service or with any terms, conditions, rules, policies, practices or guidelines of WOMEN and its Web sites, the sole and exclusive remedy of the member, participant or user is to discontinue using the Service. 


16. It is understood and agreed that a member, participant or user cannot become an Affiliate Member of their own WOMEN Web site Affiliate account. 


17. It is understood and agreed that all audio, video, visual or text content that has been created, listed, and published while a WOMEN Web site account-holder, member or service user is subject to copyright, trademark or other laws regarding intellectual property ownership. It is the sole responsibility of the member, user or participant to abide by all such laws with regard to publishing media content such as audio or video or any other forms of content. The member, participant or user will hold WOMEN and its Web sites, assigns, affiliates, agents, alliances, contractors, employees, licensors, licensees, officers, owners, partners, stakeholders, shareholders and subsidiaries completely harmless and not liable for any copyright, trademark or intellectual property infringements that may arise from my violation of the Copyright Laws. 


18. It is further understood and agreed that any WOMEN Web site account membership or service can be cancelled at any time for any misconduct or violations of State and Federal Laws. Such misconduct or violations are not limited to copyright or trademark infringement, intellectual property theft, libel, slander, defamation, pornographic use, publishing or broadcasting with explicit sexual or vulgar content and derogatory threats, verbal or otherwise, to the WOMEN service personnel or staff. WOMEN and its Web sites, assigns, affiliates, agents, alliances, contractors, employees, licensors, licensees, officers, owners, partners, stakeholders, shareholders and subsidiaries completely harmless and not liable for any misconduct or violation of State and Federal Laws that any member, participant or user has committed or perpetrated.

    

Important Points about the Trademark:

    • WOMEN is an owner of specific, registered trademark and its use is prohibited outside the scope of this Terms of Service Agreement. DO NOT use the WOMEN owned trademarks in any form or fashion such as and not limited to email addresses, graphics, illustrations, labels, logos, photos or Web domains.
    • Be assured that the WOMEN owned trademarks will be defended aggressively.
19. All feedback, opinions and testimonials submitted to WOMEN Web sites are considered voluntary and “Fair Play” media and may be broadcasted or published to anyone.
20. The WOMEN support team, in its efforts to support members with specific troubleshooting issues, may have to examine, read  watch or play or review content such as media files within the member, user or participant’s account, membership or service without the permission of the member, user or participant’s in order to remedy issues and provide troubleshooting tips back to the member, user or participant.




WOMEN Web site(s) Affiliate Terms



This Agreement contains the complete terms and conditions that apply to an individual or entity's participation in the WOMENt Affiliate Program (the "Program"). As used in this Agreement, "we" means WOMEN and its Web sites, and "you" means the member, user or participant. "Site" means a World Wide Web site and, depending on the context, refers either to WOMEN Web site located at the URL, www.WomensRadio.com or any site developed, managed, or operated by WOMEN, or to the site that you will link to a WOMEN Web site (as identified in your Affiliate Program guidelines where offered).

1. Enrollment in the Program
   
To begin the enrollment process, please submit a complete Program application where applicable. We will evaluate your application in good faith and will notify you of your acceptance or rejection. We may reject your application if we determine (at our sole discretion) that your content or Web site is unsuitable for the Program. Unsuitable content or Web sites include those that:
   • Promote illegal activities

   • Pornographic content
   • Include WOMEN Web site address or variations or misspellings thereof in their domain names or email addresses 

   • Otherwise violate intellectual property rights
   

If we reject your application, you are welcome to reapply to the Program at any time. You should also note that if we accept your application and your site is thereafter determined (at our sole discretion) to be unsuitable for the Program, we may terminate this Agreement.
2. Links on Your Site

   
Once you have been notified that your site has been accepted into the Program, you may provide a general link on your site to the home page for the applicable Web site. We will provide you with guidelines and graphical artwork to use in linking to our home page. To permit accurate tracking, reporting, and referral fee accrual, we will provide you with special "tagged" link formats to be used in all links between your site and our site. You must ensure that each of the links between your site and the applicable Web site properly utilizes such special link formats. Links to a Applicable Web site placed on your site pursuant to this Agreement and which properly utilize such special link formats are referred to as "Special Links." You will only earn referral fees with respect to activity on our site occurring directly through Special Links: we will not be liable to you with respect to any failure by you to use Special Links, including to the extent that such failure may result in any reduction of amounts which would otherwise be paid to you pursuant to this Agreement. 


3. Order Processing

   
We will process product orders placed by customers who follow special links from your site to our site. We reserve the right to reject orders that do not comply with any requirements that we periodically may establish. We will be responsible for all aspects of order processing and fulfillment. Among other things, we will prepare order forms; process payments, cancellations, and returns; and handle customer service. We will track sales made to customers who purchase products using special links from your site to our site and will make available to you reports summarizing this sales activity. The form, content, and frequency of the reports may vary from time to time at our discretion. 


4. Referral Fees


   We will pay you (in accordance with Sections 5 and 6 below) referral fees on certain product or service sales to third parties. For a product or service sale to be eligible to earn a referral fee, the customer must follow a Special Link from your site to the applicable Web site, select and purchase the product or service using our automated ordering system, accept delivery of the Product at the shipping destination, and remit full payment to us. You may not: (a) directly or indirectly offer any person or entity any consideration or incentive (including, without limitation, payment of money (including any rebate), or granting of any discount or other benefit) for using Special Links on your site to access the applicable Web s site (e.g., by implementing any "rewards" program for persons or entities who use Special Links on your site to access our site); or (b) post any Special Links on any Web site or other platform that is accessible through any Internet Access Appliance. If we determine, in our sole discretion, that you have offered any person or entity any such consideration or incentive, or posted Special Links on any such Web site or platform, we may (without limiting any other rights or remedies available to us) withhold any referral fees otherwise payable to you under this Agreement and/or terminate this Agreement. Excess bandwidth usage and/or toll-free usage, if applicable, along with listed expenses are non-commissionable.
5. Referral Fee Schedule
   

Referral fees are always generated in the following manner:
   1. 

You must be an active member or user, exclusive of any introductory promotion or  Free Trial, in order to receive referral fees.  In other words, you will receive your first referral fee when you have been an active, paying member for 30 days or within the time frame of the billing cycle for the particular account, membership or service offered.
   2. All referral fees are generated at the end of the billing cycle.
   3. The payment of referral fees will depend on the billing cycle of your referral.
   4. You will earn referral fees based solely on the sale of WOMEN Web site accounts, memberships or services. The current referral fee commission schedule will depend on the account, membership of service offered on each WOMEN Web site account, membership or service sale originated by you from your affiliate Website (Level One). Commissions are paid on a recurring basis for as long as the WOMEN Web site bills the referred members. 


6. Referral Fee Payment
   

Affiliate commission payments made through PayPal or a similar service upon request and are typically paid out within 48 hours. All payments shall be made in U.S. dollars. WOMEN Web site accounts, memberships or services reserve the right to hold commission payments until commission payout is of a determined amount as indicated by the particular account, membership or service offered. In the event that the accrued commission amount is less than the determined amount, that commission amount will be added to the next month's commission accrued total. 

To request a commission payment via PayPal, WOMEN Web site affiliates must request the appropriate payment amount using a "Request Payment" function provided. 


7. Policies and Pricing
   
Customers who buy services through the Affiliate service will be deemed to be customers of WOMEN Web site accounts, memberships or services. Accordingly, all WOMEN Web site rules, policies, and operating procedures will apply to those customers. We may change our policies, operating procedures and prices at any time.
8. Identifying Yourself as an Affiliate
   
We will make available to you an affiliate web site with a unique URL that identifies you as a Program participant. In order to be credited for an WOMEN Web site sale, your visitors must enter WOMEN Web site via your Affiliate URL. These visitors will be tracked with your affiliate ID and you will be credited for any sale associated with those visitors. You may not make any press release with respect to this Agreement or your participation in the Program without our prior written consent, which may be given or withheld in our sole discretion. In addition, you may not in any manner misrepresent or embellish the relationship between us and you, or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this Agreement (including by expressing or implying that WOMEN and its Web sites support, sponsor, endorse or contribute money to any charity or other cause). As an affiliate, you agree not to send any unsolicited Email to announce your affiliation with WOMEN Web site(s). This action will result in your immediate termination and will cancel any commissions that may be pending. 


9. Custom Affiliate Arrangements and Agreements

   
We can make available custom affiliate landing pages for cross or reciprocal marketing purposes for certain members expressing a desire to introduce WOMEN Web site accounts, memberships ro services to their specific target audiences. We reserve the right to make the determination whether such custom affiliate arrangements and agreements are in the best interest of WOMEN. WOMEN, in its sole discretion, has the right to cancel any such arrangement if it is deemed that the member is offering products and services which conflict or compete with the products and services of WOMEN or its Web sites. Such action will result in the immediate termination of the arrangement or agreement and will cancel any commissions that may be pending. 


10. Limited License

    
We grant you a nonexclusive, revocable right and license to use the graphic image and text described in Section 8 and such other images for which we grant express permission, solely for the purpose of identifying your site as a Program participant and to assist in generating product sales. You may not modify the graphic image or text, or any other of our images, in any way. We reserve all of our rights in the graphic image and text, any other images, our trade names and trademarks, and all other intellectual property rights. We may revoke your license at any time by giving you written notice. 


11. Term of the Agreement

    
The term of this Agreement will begin upon our acceptance of your Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause. Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your site, all links to our site, and all WOMEN trademarks, trade dress and logos, and all other materials provided by or on behalf of us to you pursuant hereto or in connection with the Program. You are only eligible to earn referral commissions on WOMEN Web site sales during the term, and referral fees earned through the date of termination will remain payable only if the related sales are not canceled or returned or rules of this agreement were not violated by you. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid.
12. 

Modification

    
We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on our site. Modifications may include, for example, changes in the scope of available referral fees, referral fee schedules, payment procedures, and Program rules. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.
13. Relationship of Parties
    
You and we are independent contractors and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section. As an independent contractor, you are responsible for your own local, state, or federal taxes. 


14. Limitation of Liability
    
We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement. 


15. Disclaimers

    
We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. 


16. Independent Investigation

    
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT. 


17. Miscellaneous

    
This Agreement will be governed by the laws of the United States and the state of Nevada, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Carson City, NV and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.  

WOMEN Privacy Statement

WOMEN is committed to protecting your privacy. Please read the WOMEN Web site Privacy Statement below for additional details. This WOMEN Web site Privacy Statement applies to data collected by WOMEN and any of its Web sites.

Personal Information Collection

At WOMEN Web sites, you are asked to provide personal information, such as your e-mail address, name, home or work address or telephone number. WOMEN Web sites may also collect demographic information, such as your ZIP code, age, gender, preferences, interests and favorites. If you choose to make a purchase or sign up for the Women Web site paid membership or subscription service, you will be asked for additional information, such as your credit/debit card number and billing address that is used to create an WOMEN Web Site billing account.

In order to access WOMEN Web site features and services, you will be asked to sign in with username and password and other other information required on the Web site form, which is referred to as your “login data.” As part of creating your login data, you may also be requested to provide questions and secret answers, which WOMEN Web sites use to help verify your identity and assist in resetting your password, as well as an alternate email address.

WOMEN Web sites may collect information about your visit, including the pages you view, the links you click and other actions taken in connection with WOMEN Web site(s). and services. WOMEN Web sites also deliver advertisements and provides website analytics tools on non-WOMEN Web sites and services, and may collect information about page views on these third party sites as well. Additionally, it collects certain standard information that your browser sends to every website you visit, such as your IP address, browser type and language, access times and referring Web site addresses.

WOMEN Web sites may gather or record your experiences through Web site forms or any of its audio, telephony or video features or services for feedback, opinions or testimonials.  These recordings may be published on pages or sites for marketing and promotional purposes.

When you receive newsletters or promotional e-mail from WOMEN Web sites, it may use tracking technology, customized links or similar technologies to determine whether the e-mail has been opened and which links you click in order to provide you more focused e-mail communications or other information.

Under no circumstance will WOMEN and its Web sites cross-ship merchandise beyond 30 days from the original invoice date.

WOMEN and its Web sites offers complimentary customer or member appreciation gifts with the purchase of selected merchandise. Electronic Waste Recycling Act

The Electronic Waste Recycling Act ("Act") became law in California on January 1, 2005. The primary objective of this law is to initiate a recycling program for computer products containing chemicals deemed hazardous to the environment. To fund this program, California requires retailers and e-tailers to collect, on the state's behalf, a fee for each product covered by this law. The fee is paid by the consumer at the time of purchase of the covered product. This fee will be remitted directly to the state by us and only applies to orders shipped within California.

The types of products that we are required to collect this recycling fee include cathode ray tubes, cathode ray tube devices, flat panel screens, and other similar video display devices. The actual amount of the recycling fee will vary, based on the screen size of the product when measured diagonally, as follows:

Greater than 4" and less than 15" -- $6.00

Greater than or equal to 15" and less than 35" -- $8.00

Greater than or equal to 35" -- $10.00

Effective January 1, 2009, the Electronic Waste Recycling (Ewaste) Fee will increase for all covered electronic devices (CEDs). The new fees are as follows:

Greater than 4" and less than 15" -- $8.00

Greater than or equal to 15" and less than 35" -- $16.00

Greater than or equal to 35" -- $25.00

Product Testing

WOMEN and its Web sites, like other e-tailers, ships items in the condition they were received from the original manufacturer/distributor. WOMEN and its Web sites do not conduct product testing before shipping any merchandise.

"Must Be Purchased With Hardware"

The "must be purchased with hardware" precept is mandated by the software publisher. In accordance, WOMEN and its Web sites customers must purchase some type of product which falls under the general category of computer hardware in order to purchase applicable software. Hardware is classified as any component that will be used when assembling a computer system (a hard drive, motherboard, processor and a floppy drive are all examples of merchandise that will qualify). There is no specific or set price the hardware has to be, merely that there is some sort of eligible hardware present in the order itself.

Money Back Guarantee/Refund Policy

All merchandise unless otherwise indicated may be returned within 30 days from the original invoice date for a refund. CPUs must be returned within 7 days from the invoice date for a refund. A return authorization number is required for all returns. A 15% restocking fee may apply. Additional deductions may be made for CPU returns to reflect the current market value. These terms apply to all refunds. Most products are shipped with a refund/replacement guarantee period unless otherwise noted in the product listing. Customers must inform WOMEN and its Web sites of any order discrepancy within 7 days from the invoice date so that we may investigate and resolve the situation accordingly.

WOMEN and its Web sites PRODUCT PURCHASE GUARANTEE – WOMEN and its Web sites  offer customers a 30-day satisfaction replacement or refund guarantee on all purchases, except:

7-day replacement or refund guarantee on all CPUs, including Open Box processors. All other Open Box merchandise has a 15-day warranty period.

For CPUs, the base cost will reflect the current market value, and the 15% restocking fee will be applied after this adjustment.

Downloadable software is refundable within 15 days of the original invoice date. WOMEN and its Web sites will confirm that the product has not been downloaded and, upon verification, the customer will be issued a letter of destruction. Once he/she agrees to the terms stipulated in the letter, WOMEN and ts Web sites  will issue a Return Merchandise Authorization number for the refund amount.

DVDs are non-refundable but may be exchanged for a functional version of the same film by using the pre-paid shipping label packaged with your order.

Cell Phone Return Policy

Customers who purchase wireless communication equipment, such as cell phones, from WOMEN and its Web sites and who purchase a wireless communication service plan from a third party through WOMEN and its Web sites as part of the same order, have an opportunity to try out the service and equipment to make sure they are satisfied. If according to the agreement for wireless service between Customer and their wireless service provider Customer is able to cancel their service (Service cancellation is actually governed by the terms of your agreement with the wireless service provider and should be reviewed) within 14-days (however it may instead be thirty (30) days for activations by customers whose primary place of use of the service is within the State of California (i.e. the customer's service is activated using a California area code) and who purchase their service on or after December 6, 2004) then Customer may also return the wireless communication equipment within such same time period (i.e. 14 days or 30 days as applicable) after Activation, with no early termination fee, no non-usage based fee, no restocking fee and no reimbursement of any equipment discount. Software Return Policy

Retail Software may only be returned for refund within 30 days of the invoice date if the packaging is unopened and untampered. Opened retail software cannot be returned for refund. If you have opened a retail software purchase to discover a damaged and/or defective disc, you may exchange the software for an identical replacement by contacting WOMEN and its Web sites Customer Service at the designate Web site email form page and acquiring an RMA number. All OEM software including the operating system is 100% non-refundable once purchased and delivered. OEM versions are intended for system builders only and cannot be transferred to another PC once it is installed. Purchasers of this software are required to comply with the terms of the System Builder License, including responsibility for providing all end-user support. WOMEN and its Web sites are not responsible for system/software incompatibility, and incompatibility issues do not qualify software as damaged or defective. Customers are encouraged to contact the respective software publisher for answers to technical questions, such as minimum system requirements, prior to purchase.

DVD Return Policy

DVDs are non-refundable but may be exchanged within 30-days of the invoice date for a functional version of the same film by using the shipping label packaged with your order. If you have any questions or concerns, please contact us for help.

Physical Damage Policy

Physical damage to any product purchased at WOMEN and its Web sites will effectively void warranty coverage. Improper Installation of CPU fans and/or improper clocking may cause CPUs to chip. CPUs that are chipped, burnt or have bent pins are considered physically damaged and cannot be returned for refund or replacement. Physical damage includes but is not limited to improper handling and/or any other type of damage sustained by irregular usage. WOMEN and its Web sites encounters bent pins regularly when inspecting physically damaged CPUs. Forcing a processor into position will not solve an installation problem and may consequently void any applicable warranty coverage. Intel and AMD will not accept physically damaged processors back from WOMEN and its Web sites. As a result, WOMEN and its Web sites will return any physically damaged CPU back to the customer at the customer's expense.

Restocking Fee

A 15% restocking fee will be applied to all returns for refund. Shipping charges are non-refundable. No refunds after 30 days.

Technical Support

WOMEN and its Web sites does not offer any sort of technical assistance with respect to physical product sales. We cannot offer advice on compatibility of items, make product recommendations; provide technical support or sales advice. We post all of the information the manufacturer provides us with for your convenience. Please contact the manufacturer directly for accurate answers to your technical questions or for additional information or specifications that are not posted at WOMEN and its Web sites.

Processing Time

You can expect your order to be processed within approximately 24-48 hours, provided the items are in stock and there are no problems with payment verification. WOMEN and its Web sites does not guarantee same day-shipping. Orders are not processed on weekends and holidays.

Rush Processing

Pre-orders

Click the Pre-order button in the item description and checkout as you normally would. A Sales Order number will be issued at the Order Confirmation screen just as if you were placing a conventional order, but your credit/debit card will not be charged until your pre-ordered DVD or software is in stock and ready to ship. If you purchase an in-stock item with a pre-order item, you will be charged accordingly for the available product and the difference when your pre-ordered item is in stock and ready for shipment. In this instance, two Sales Order numbers will be issued; one for the in-stock merchandise and one for the pre-ordered merchandise. You will be kept up-to-date via our website and through standard Order Status emails to your account.

Back-orders

WOMEN and its Web sites does not sell backordered merchandise. We will never purposely charge a customer for an item that we do not physically have in stock at the time of purchase. Occasional inventory discrepancies may occur due to inaccurate inventory counts or possibly because the last few items on our shelves are damaged and/or not in a condition that we can in good faith sell to a customer. In that instance, we will refund your credit/debit card for the item, along with any applicable tax fees and shipping charges. An automated email will also be sent to your WOMEN and its Web sites login to alert you of the situation.

Order status

WOMEN and its Web sites will keep you informed of your order status via e-mail. All tracking information will be emailed to your WOMEN and its Web sites ID once your order has shipped (except when an APO/FPO is the shipping destination). Fair Credit Billing Act: We guarantee that every online transaction you make will be 100% safe. Under the Fair Credit Billing Act, your bank cannot hold you liable for more than $50.00 for fraudulent charges. If your bank does hold you liable for any of this $50.00, we will cover the entire liability for you, up to the full $50.00. In the event of unauthorized use of your credit card, you must notify your credit card provider in accordance with its reporting rules and procedures.

Change orders

You may request a change to your order provided the order has not already been charged to your account. Please call 1-888-658-4635 during WOMEN and its Web sites’hours of operation to request a change to your order. Please have your sales order (SO) or customer number ready for better assistance. We strongly discourage sending change order requests via email because it is unlikely we will receive the message in time to make an adjustment due to the sheer volume of emails we receive each day.

Cancel orders

You may request than an order be cancelled provided the order has not already been processed and shipped. Simply call 1-888-658-4635 during WOMEN and its Web sites’ hours of operation to request an order cancellation. You will receive a credit for the full amount to your credit/debit card in approximately 1-2 business days.

Resellers

Unfortunately, we do not currently have a reseller or discount program available at this time. WOMEN and its Web sites currently already negotiates the best possible price for you, and offers these great discounts to all of our customers through our web site. Anytime we receive any specials or promotions, we will immediately post them on our web site for you to take advantage.

Tax: All customers outside of California, New Jersey, New York and Tennessee will not be charged any state sales tax. Therefore, there is no need to fax or set up any reseller tax exemption form.

Purchase Agreement

By accepting delivery of any product delivered from WOMEN ("WOMEN and its Web sites "), you ("Customer") agree to be bound by the terms and conditions listed below. You and WOMEN and its Web sites agree that the following terms and conditions are the exclusive terms governing the sales transaction between Customer and WOMEN and its Web sites. Any attempt to alter, supplement, modify or amend these terms and conditions by the Customer will be considered a material alteration of this agreement and, therefore, are null and void. In addition, these terms and conditions are subject to change at any time, without prior written notice. Therefore, please check these terms and conditions carefully each time you place an order with or accept delivery of any goods from WOMEN and its Web sites.

Purchase Guarantee

WOMEN and its Web sites offer our Customers a 30-day satisfaction replacement or refund guarantee on all purchases, except:

7-day refund/replacement guarantee on Retail, OEM and Open Box processors. All other Open Box merchandise has a 15-day warranty period. All refunds on processors will be subjected to a 15% restocking fee to reflect the current market value.

Downloadable software has no physical assets. A letter of destruction with confirmation from Digital River that the product has not been downloaded are required within 15-days for refund approval.

DVDs are non-refundable and may be exchanged within 30-days of the invoice date for the same item only through Baker & Taylor via a shipping label included with their original delivery.

If you wish to return a Bundle Promo for a refund, you must return the ENTIRE BUNDLE within 30 days of purchase. Note that a 15% restocking fee will be applied. Components within a Bundle Special may be returned for repair/replacement only. Individual items may only be returned for repair/replacement if an RMA number is acquired within the Return Policy period.

Manufacturer Kits are different than bundles as they are arranged by the brand/manufacturer and will only have one item number. Warranty guidelines have yet to be stipulated.

IF ACCORDING TO THE AGREEMENT FOR WIRELESS SERVICE BETWEEN CUSTOMER AND THEIR WIRELESS SERVICE PROVIDER CUSTOMER IS ABLE TO CANCEL THEIR SERVICE (SERVICE CANCELLATION IS ACTUALLY GOVERNED BY THE TERMS OF YOUR AGREEMENT WITH THE WIRELESS SERVICE PROVIDER AND SHOULD BE REVIEWED) WITHIN 14-DAYS (HOWEVER IT MAY INSTEAD BE THIRTY (30) DAYS FOR ACTIVATIONS BY CUSTOMERS WHOSE PRIMARY PLACE OF USE OF THE SERVICE IS WITHIN THE STATE OF CALIFORNIA (I.E. THE CUSTOMER'S SERVICE IS ACTIVATED USING A CALIFORNIA AREA CODE) AND WHO PURCHASE THEIR SERVICE ON OR AFTER DECEMBER 6, 2004) THEN CUSTOMER MAY ALSO RETURN THE WIRELESS COMMUNICATION EQUIPMENT WITHIN SUCH SAME TIME PERIOD (I.E. 14 DAYS OR 30 DAYS AS APPLICABLE) AFTER ACTIVATION, WITH NO EARLY TERMINATION FEE, NO NON-USAGE BASED FEE, NO RESTOCKING FEE AND NO REIMBURSEMENT OF ANY EQUIPMENT DISCOUNT. To take advantage of WOMEN and its Web sites’ purchase guarantee, the Customer must comply with the Product Return Procedure detailed below. Any breach of WOMEN and its Web sites’ Return Policy Procedure will result in the loss of WOMEN and its Web sites’ refund/replacement guarantee. Furthermore, all return shipments not in compliance with these instructions will be rejected.

Product Return Procedure

To return a product in compliance with WOMEN and its Web sites’ purchase guarantee, you must obtain a Return Merchandise Authorization ("RMA") number within the guarantee return period for the product (described above). Please click here to acquire an RMA number. All RMA requests must be filed online. WOMEN and its Web sites will not accept returns without prior authorization and a RMA number. Once issued, RMA numbers are valid for 15 days within which return products must be received by WOMEN and its Web sites . RMA numbers will not be extended or reissued. Customer should prominently display the RMA number(s) on the shipping label of boxes containing the returned product.

Customer is solely responsible for shipping any returned product to WOMEN and its Web sites. Customer agrees to use only reputable carriers capable of providing proof of delivery and insurance for the entire value of the shipment. Customer agrees to bear all shipping and insurance charges and all risk of loss for the return product during shipment. Customer agrees that all returned products will be 100% complete, in re-saleable condition, and will include the original packaging material, manuals, blank warranty cards, and other accessories provided by the manufacturer. If any component of the returned product is missing, WOMEN and its Web sites’ Return Procedure will be breached and WOMEN and its Web sites may in its sole and absolute discretion reject the entire return or choose to impose additional charges against the customer for replacement of the missing component(s).

WOMEN and its Web sites will not refund to Customer the original shipping charges. In addition, WOMEN and its Web sites will assess a 15% restocking fee against the Customer's account on all returns for refund.

Warranties - All product sold "AS-IS" or "With All Faults"

WOMEN and its Web sites IS A DISTRIBUTOR ONLY. PRODUCTS SOLD BY WOMEN and its Web sites ARE NOT MANUFACTURED BY WOMEN and its Web sites. THE PRODUCTS MAY, HOWEVER, BE COVERED BY EACH MANUFACTURER'S WARRANTY, SERVICE, AND SUPPORT POLICY (IF PRESENT). WOMEN and its Web sites ASSIGN AND PASSE THROUGH TO THE CUSTOMER ANY WARRANTY OF THE MANUFACTURER, AND CUSTOMER ACKNOWLEDGES THAT IT SHALL HAVE RECOURSE ONLY UNDER SUCH WARRANTIES AND ONLY AS AGAINST THE MANUFACTURER OF THE PRODUCTS. WOMEN and its Web sites MAKE NO REPRESENTATION OR EXPRESS WARRANTY WITH RESPECT TO THE PRODUCT EXCEPT THOSE STATED IN THIS DOCUMENT. WOMEN and its Web sites DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, AS TO ANY SUCH PRODUCT, INCLUDING AND WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY IMPLIED WARRANTIES ARISING FROM STATUTE, TRADE USAGE, COURSE OF DEALING, OR COURSE OF PERFORMANCE.

ALL ITEMS SOLD THROUGH WOMEN and its Web sites m ARE SOLD "AS-IS" OR "WITH ALL FAULTS." THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THESE ITEMS IS WITH THE BUYER. SHOULD ANY OF THESE ITEMS PROVE DEFECTIVE, DO NOT FUNCTION, OR FUNCTION IMPROPERLY IN ANY WAY FOLLOWING THEIR PURCHASE, THE BUYER, AND NOT THE MANUFACTURER, DISTRIBUTOR, OR WOMEN and its Web sites, ASSUMES THE ENTIRE COST OF ALL NECESSARY SERVICING OR REPAIR.

Limitation of Liability

IN ALL CIRCUMSTANCES WOMEN and its Web sites’MAXIMUM LIABILITY IS LIMITED TO THE PURCHASE PRICE OF THE PRODUCTS SOLD. WOMEN and its Web sites SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE UPON A CLAIM OR ACTION IN CONTRACT, TORT, INDEMNITY OR CONTRIBUTION, OR OTHER CLAIMS RELATING TO THE PRODUCTS IT SELLS WHICH EXCEEDS THIS LIABILITY LIMIT. WOMEN and its Web sites SHALL NOT BE LIABLE FOR THIRD PARTY CLAIMS FOR DAMAGES AGAINST THE CUSTOMER, OR FOR MALFUNCTION, DELAYS, INTERRUPTION OF SERVICE, LOSS OF BUSINESS, LOSS OR DAMAGE TO EXEMPLARY DAMAGES, WHETHER OR NOT WOMEN and its Web sites HAS BEEN MADE AWARE OF THE POSSIBILITY OF SUCH CLAIMS OR DAMAGES.

Cell Phone Equipment Discount Reimbursement For Early Termination

CUSTOMER MUST REIMBURSE WOMEN and its Web sites THE AMOUNT OF ANY DISCOUNT GIVEN BY WOMEN and its Web sites IN THE PRICE OF A WIRELESS COMMUNICATION DEVICE, SUCH AS A CELL PHONE, WHERE THE DISCOUNT WAS GIVEN BECAUSE CUSTOMER PURCHASED A WIRELESS COMMUNCATION SERVICE PLAN AS PART OF THE SAME ORDER, IF CUSTOMER DOES NOT MAINTAIN THE WIRELESS COMMUNICATION SERVICE PLAN PURCHASED AS PART OF THE ORDER IN GOOD STANDING FOR A MINIMUM OF 181 DAYS AFTER ACTIVATION. The wireless communication service plan will be considered not to be in good standing if:

You fail to pay the balance due by the payment due date in any month.

You cancel the service.

You change the service plan to a different service plan with a lower monthly service rate.

You transfer the equipment to another service plan.

You transfer any phone number associated with the service plan to another service plan.

You use the service plan purchased as part of the same order to replace an existing service plan you have with the same company.

Customer authorizes WOMEN and its Web sites to initiate a charge to the credit card or other payment method was used to purchase the Equipment in the amount of $250.00, the Equipment Discount, if it is due.

Recordings

WOMEN and its Web sites does not consent to having any telephone calls recorded and reserves the right to terminate any call that is being recorded. Customer agrees not to record any call with WOMEN and its Web sites unless Customer has provided clear and conspicuous notice to WOMEN and its Web sites and has received prior written consent from WOMEN and its Web sites.

General Terms and Conditions

 

Orders

An order is not binding upon WOMEN and its Web sites until it is accepted; WOMEN and its Web sites must receive payment before it will accept an order. Payment for product(s) ordered is due prior to shipment. Customer can make payment by credit card, or some other method prearranged with WOMEN and its Web sites. You agree to pay the amount(s) due as specified on the invoice, and you agree to pay interest on all past-due sums at a rate of 1.5% per month or the highest rate allowed by law, whichever is greater.

Shipping Charges

Your total cost for purchase of any product will include shipping and handling charges shown on the applicable WOMEN and its Web sites invoice.

Risk of Loss

WOMEN and its Web sites will arrange for shipment of ordered product(s) to the Customer, Free On Board (F.O.B.) shipping point, meaning title to the product(s) -- excepting software-- and risk of loss passes to the Customer upon delivery to the carrier. WOMEN and its Web sites reserve a purchase money security interest in the product(s) until its receipt of the full amount due. Customer agrees to allow WOMEN and its Web sites to sign appropriate documents on Customer's behalf to permit WOMEN and its Web sites to protect its purchase money security interest. Title to software will remain with the licensor(s). All software is provided subject to the license agreement of the software maker. Customer agrees to be bound by any software license agreement once the seal on the package is broken. WOMEN and its Web sites will advise Customer of estimated shipping dates, but WOMEN and its Web sites will, under no circumstances, be responsible for delays in delivery, and associated damages, due to events beyond its reasonable control, including without limitation, acts of God or public enemy, acts of federal, state or local government, fire, floods, civil disobedience, strikes, lockouts, and freight embargoes.

Governing Law and Jurisdiction

Any dispute arising out of or related to these Terms and Conditions or the sales transaction between WOMEN and its Web sites and Customer shall be governed by the laws of the State of Nevada, without regard to its conflicts of law rules. Specifically, the validity, interpretation, and performance of this agreement shall not be governed by the United Nations Convention on the International Sale of Goods. WOMEN and its Web sites and Customer consent to the exclusive jurisdiction and the exclusive venue of the State Courts of the State of Nevada, Douglas County, to resolve any dispute between them related hereto, and the parities waive all rights to contest this exclusive jurisdiction and venue of such Courts. Finally, the Customer also agree not to bring any legal action, based upon any legal theory including contract, tort, equity or otherwise, against WOMEN and its Web sites that is more than one year after the date of the applicable invoice.

Severability

If any provision contained in this agreement is or becomes invalid, illegal, or unenforceable in whole or in part, such invalidity, illegality, or unenforceability shall not affect the remaining provisions and portions of this agreement, and the invalid, illegal, or unenforceable provision shall be deemed modified so as to have the most similar result that is valid and enforceable under applicable Nevada law.

Waiver

The failure of either party to require performance by the other party of any provision of this agreement shall not affect in any way the first party's right to require such performance at any time thereafter. Any waiver by either party of a breach of any provision in this agreement shall not be taken or held by the other party to be a continuing waiver of that provision unless such waiver is made in writing.

Entire Agreement

These terms and conditions, together with WOMEN and its Web sites’ invoice regarding the products ordered by Customer, are the complete and exclusive agreement between WOMEN and its Web sites and Customer, and they supersede all prior or contemporaneous proposals, oral or written, understandings, representations, conditions, warranties, and all other communications between WOMEN and its Web sites and Customer relating to the subject products. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.
